ALP Studio – Commercial Media Terms & Conditions

This Agreement is entered into between ALP Studio (“Company” or “Artist”) and the hiring client (“Client”).

By engaging Company services, Client agrees to the following terms:

1. Ownership

All media created by Company, including but not limited to photographs, video, drone footage, floor plans, and derivative works (“Media”), remain the exclusive intellectual property of Company.

No copyright transfer occurs. Only a license is granted.

2. Grant of License

Company grants Client a limited, non-exclusive, non-transferable, non-sublicensable license to use the Media for the Client’s own business and marketing purposes.

Permitted uses may include:

  • Website and portfolio use

  • Social media and digital marketing

  • Print marketing materials

  • Award submissions and editorial features

Use must be directly related to the Client’s business.

3. Authorized Use & Restrictions

Client may use the Media internally and for their own promotion.

Without prior written consent, Client may NOT:

  • Transfer, share, or sublicense the Media to third parties

  • Provide Media to other businesses (including partners, collaborators, or consultants)

  • Sell, license, or distribute the Media

  • Allow other parties to use the Media for their own marketing

Any third-party use requires a separate license from ALP Studio.

4. Third-Party & Collaborative Projects

For projects involving multiple stakeholders (e.g. developer, architect, designer, contractor):

Each party must obtain their own license unless otherwise agreed in writing.

Use by one party does not grant usage rights to any other party.

5. Term & Usage Duration

Unless otherwise agreed in writing:

  • The license is granted for ongoing use for the Client’s business and portfolio

  • Usage is limited to the scope outlined in this Agreement

Expanded usage (e.g. large-scale campaigns, resale, national advertising) may require additional licensing.

6. Modifications

Client may:

  • Resize or crop the Media

  • Apply minor color/exposure adjustments

  • Add branding overlays or layout formatting

Client may NOT:

  • Heavily alter, distort, or misrepresent the Media

  • Create derivative works beyond standard marketing use

  • Use AI tools to generate altered or derivative content

  • Allow third parties to edit or manipulate the Media

7. Licensing Rights Reserved by Company

Company reserves the right to:

  • Use the Media for its own portfolio, marketing, and promotional purposes

  • License the Media to other parties, including but not limited to project stakeholders, publications, and commercial entities

No exclusivity is granted unless expressly agreed in writing.

8. Credit

Where applicable and industry-appropriate, credit should be given as:

Editorial publications are expected to provide credit where customary.

9. Payment & License Validity

The license is only valid upon full payment.

Failure to pay may result in:

  • Suspension or revocation of license

  • Removal requests

  • Additional licensing or legal action

Unauthorized use constitutes copyright infringement.

10. Indemnification

Client agrees to indemnify and hold harmless Company from any claims, damages, or liabilities arising from:

  • Unauthorized use of the Media

  • Misuse or alteration of the Media

  • Third-party claims related to the Client’s use

11. Limitation of Liability

Company shall not be liable for indirect, incidental, or consequential damages arising from the use of the Media.

12. Governing Law

This Agreement shall be governed by the laws of the Province of British Columbia, Canada.
